BPE Corporate Announces Complex £4m Acquisition
In this highly complex deal, the team at BPE advised Green Compliance on the takeover, by means of a scheme of arrangement which in contrast to the ‘offer’ process, kept Green Compliance in control of the process. This method of acquisition requires the approval of 75% of shareholders.
BPE has worked closely with AIM listed Green Compliance for the past 6 years supporting the business at strategic pinch points throughout its growth whether a fundraising or completing the multimillion pound sale of its pest control and pest services division to Rentokil Initial.
Richard Hodgson, Chief Operating Officer said: “We knew we could rely on Tim and his team to get the deal done. Anthony Rudge, Katie Yorke and the rest of the Corporate team’s no-nonsense approach, commercial “can do” attitude and commitment has been invaluable. BPE is more than our law firm, they are an integral part of our business team.”
The merger between the two AIM listed companies will allow Green Compliance to evolve from being a market leading water hygiene and treatment business to a total water management business; managing the total water supply needs of companies.
Partner Tim Ward, who led the deal, commented, “This was an extremely complex deal which highlights the quality of work and breadth of experience that you would expect to find in a London law firm. BPE’s clients can benefit from this wealth of experience and our Partner led approach from our Cheltenham base at very competitive rates.”
BPE is an entrepreneurial business which works with likeminded businesses and individuals. “We’re not ‘just lawyers’, we’re trusted business advisers,” said Tim. The firm supports businesses throughout their development from starting up and structuring a business to development either through growth, joint ventures, buying and selling to floating on the stock market.
